CorpoDesk provides administrative document preparation services for licensed Ontario lawyers, including:
All services are administrative document preparation only. Nothing produced by CorpoDesk constitutes legal advice, legal opinion, or the practice of law. CorpoDesk is not a law firm and is not affiliated with any law firm.
All documents prepared by CorpoDesk are delivered to the supervising lawyer for review. The lawyer retains full professional responsibility for:
CorpoDesk's role ends at document delivery. The lawyer's independent review is not optional — it is a required step before any document is used or filed.
Use of CorpoDesk's services does not create a solicitor-client relationship between CorpoDesk and any party, including the lawyer or the corporation whose records are involved.
CorpoDesk's liability for any error, omission, or deficiency in a prepared document is limited to the fee paid for that document package. CorpoDesk is not liable for any consequential, indirect, or incidental damages arising from the use of documents prepared under this service.

CorpoDesk's services are available exclusively to licensed lawyers and law firms in Ontario, Canada. CorpoDesk does not provide services directly to corporations or members of the public.

CorpoDesk is not registered for HST. Fees quoted are the total amount payable — no tax applies.
Annual Corporate Resolutions: CorpoDesk aims to return completed packages within 48 business hours of receiving all required source documents. Turnaround begins when both the accountant's instruction letter and the supporting corporate record have been received and are complete.
Ontario Incorporation Services: The articles of incorporation draft is submitted to the client within 24 hours of receiving the completed intake questionnaire. Filing with the Ontario Business Registry takes place on the same day that written authorization and payment are received. The Ministry of Ontario typically issues the Articles and Certificate of Incorporation within 1–3 business days of filing; this timeline is outside CorpoDesk's control. Remaining corporate record documents are prepared concurrently and delivered upon receipt of the certificate.
Custom Document Preparation: Turnaround time is confirmed in writing before work begins and depends on the scope and complexity of the file. CorpoDesk will advise the client of the expected delivery date upon reviewing the source documents and instructions.
If additional information is needed to complete any package, CorpoDesk will contact the client promptly. Turnaround clocks pause until the requested information is received.
Annual Corporate Resolutions: Payment is due upon delivery of the completed document package. CorpoDesk will invoice by email. Accepted payment methods will be confirmed at the time of engagement. For ongoing clients, monthly invoicing arrangements may be available on request.
Ontario Incorporation Services: Payment of the full amount ($550 service fee + $300 government filing fee) is due upon execution of the written authorization. CorpoDesk will not proceed with filing until payment has been received. No exceptions.
Annual Corporate Resolutions and Incorporation Services: If a completed package contains an error attributable to CorpoDesk (for example, a field was populated incorrectly based on the source documents provided), CorpoDesk will correct and re-deliver the affected documents at no additional charge. Revisions requested due to changes in source information, or changes made after delivery, may be subject to an additional fee.
Custom Document Preparation: Revisions attributable to a population error on CorpoDesk's part are corrected at no charge. Revisions arising from changes to instructions, scope, or source information after delivery are subject to a revision fee starting at $75 depending on the extent of the rework required. Where source instructions are ambiguous, CorpoDesk will flag the ambiguity before delivering — revisions arising from flagged ambiguities that were not resolved prior to delivery are handled on a case-by-case basis.

CorpoDesk's liability for any issue arising from a prepared document package is limited to the fee paid for that package. CorpoDesk is not responsible for errors arising from inaccurate, incomplete, or conflicting information in the source documents provided.
CorpoDesk may update these terms from time to time. Clients will be notified of material changes by email. Continued use of the service after notification constitutes acceptance of the updated terms.

These documents may contain personal and financial information about the corporation and its shareholders, directors, and officers. All information is used exclusively for document preparation purposes.
Source documents and the information they contain are used exclusively to prepare the requested document package. CorpoDesk does not:
Annual Corporate Resolutions: Source documents (the accountant's letter and supporting corporate record) are deleted from CorpoDesk's systems within 30 days of delivering the completed package, unless the client requests otherwise for ongoing file management purposes.
Ontario Incorporation Services: The completed intake questionnaire and signed written authorization are retained for 90 days after delivery of the completed incorporation package, then deleted. A record of the OBR filing confirmation is retained for standard record-keeping purposes.
Completed document packages for both services are retained for 90 days after delivery in case revisions are requested, then deleted. Copies of invoices and payment records are retained for standard accounting purposes.
Documents are transmitted by email. While CorpoDesk takes reasonable precautions in handling client documents, clients should be aware that standard email is not encrypted end-to-end. Clients who require a more secure transfer method are welcome to discuss alternatives.

Custom work is available on request for corporate matters beyond the two core services. You provide the instructions and precedents — CorpoDesk handles the population work.
CorpoDesk accepts custom document preparation engagements for corporate matters that fall outside the scope of the annual resolutions and incorporation services. Examples of custom work handled to date include:
All custom work is administrative document population only. CorpoDesk does not draft precedents from scratch, determine document structure, make legal determinations, or provide legal advice in connection with any custom engagement.
